1. Purpose
1.1 This Agreement forms part of, and is incorporated into, the Reseller Master Services Agreement (“MSA”) entered into between M-Tech Systems Ltd, a company incorporated and registered in England and Wales with company number 04843249, whose registered office is Martello House, Edward Road, Eastbourne, BN23 8AS (“M-Tech”), and the reseller, referral or distribution partner identified in that MSA (“Partner”).
1.2 The Parties wish to explore and/or perform a reseller, referral, distribution or services collaboration in relation to M-Tech’s products, services and managed solutions (the “Purpose”).
1.3 In connection with the Purpose, M-Tech may disclose Confidential Information (defined below) and may grant limited access to its operational, legal, and commercial materials, including but not limited to M-Tech’s Master Services Agreement (MSA), schedules, statements of work and associated documentation.
2. Confidential Information
2.1 “Confidential Information” means all non-public information disclosed by M-Tech (directly or indirectly, in any form) including:
- (a) Legal and contractual materials such as Master Services Agreements, schedules, statements of work, service descriptions, guides, playbooks, policies, version-control pages, commercial terms, price lists and discount structures.
- (b) Technical materials such as designs, architectures, configurations, scripts, automation workflows, runbooks, source materials, APIs, integrations, security controls, RF, Wi-Fi and SD-WAN designs, surveillance or access-control layouts.
- (c) Business or commercial information such as pipelines, opportunities, leads, customers, vendors, strategies, roadmaps, tool stacks, training materials, and M-Tech’s operational know-how.
- (d) Any derivatives or adaptations of the foregoing created by or for the Partner, together with any information that would reasonably be regarded as proprietary or confidential in the circumstances of disclosure.
2.2 All Confidential Information remains the exclusive property of M-Tech. No licence, ownership or other rights are granted except as expressly set out in this Agreement.
3. Use and Protection
The Partner shall:
- (a) Use Confidential Information solely for the Purpose.
- (b) Keep such information strictly confidential and apply safeguards no less protective than those it applies to its own most sensitive information, and in any event consistent with industry-standard security practice.
- (c) Not disclose Confidential Information to any third party without the prior written consent of M-Tech.
- (d) Restrict access strictly to personnel who have a genuine need-to-know for the Purpose, ensuring they are bound by equivalent written confidentiality obligations.
- (e) Not copy, adapt, translate, re-brand, re-template or create derivative works from M-Tech materials except where expressly authorised in writing by M-Tech.
