1. Interpretation
1.1 Except as defined in this Schedule 10 (Access Control Services), capitalised terms shall have the meanings given to them in the Agreement.
1.2 In the event of conflict between this Schedule 10 and the Agreement, the provisions of this Schedule 10 shall take precedence, and in the event of conflict with a Service Document, Statement of Work, or Service Order, the provisions of that Service Document shall take precedence.
1.3 For the purposes of this Schedule 10:
- “Access Control Services” means the provision, installation, configuration, maintenance, and support of access control hardware, software, and integrations as set out in this Schedule 10.
- “Salto Platform” means the Salto KS (cloud-managed) or Salto Space (on-premises) access control systems.
- “UniFi Access Platform” means the UniFi Access system provided by Ubiquiti.
- “Brivo Platform” means the Brivo cloud-hosted access control service.
- “Automatic Door Equipment” means door operators, closers, and related automation equipment supplied by DormaKaba or equivalent.
- “Preventative Maintenance” means scheduled testing, adjustments, updates and inspections intended to maintain Good Working Order.
- “Corrective Maintenance” means adjustments and/or replacement of parts required to restore the equipment to Good Working Order.
- “Emergency Maintenance” means out-of-hours or urgent maintenance required to restore the equipment to Good Working Order.
- “Good Working Order” means that the relevant access control equipment operates in accordance with the manufacturer’s operating manuals and specifications, and is not damaged, vandalised, or otherwise compromised.
- “Excluded Maintenance” has the meaning given in paragraph 5 of this Schedule 10.
- “Business Hours” means 9.00 am to 5.30 pm on a Business Day.
- “Agreed Maximum Spend” means, where specified in the relevant Service Order or Statement of Work, the maximum value per visit for replacement parts that may be fitted by the Supplier without prior Client approval.
- “Third-Party Systems” means any systems, networks, applications, or equipment not supplied or managed by the Supplier but which may interact with or affect the Access Control Services (including fire-alarm panels, IT networks, building management systems, and visitor management platforms).
