1.1 Except as defined in this Schedule 14 (Safeguarding & Web Filtering Services), capitalised terms shall have the meanings given to them in the Agreement.
1.2 To the extent applicable to the Safeguarding & Web Filtering Services, in the event of conflict between this Schedule 14 and the Agreement, the provisions of this Schedule 14 shall take precedence. In the event of conflict with a Service Document, Statement of Work, or Service Order, the provisions of that Service Document shall take precedence over this Schedule 14.
1.3 For the purposes of this Schedule 14:
2.1 The Supplier shall provide the Services as set out in the relevant Quote, Service Document, or Statement of Work. Services may include:
(a) provision and licensing of Safeguarding Products;
(b) installation and configuration of Safeguarding Products;
(c) integration with the Customer’s IT environment, including directory services;
(d) provision of reporting dashboards, alerts, and usage statistics; and
(e) ongoing maintenance, patching, and renewal of licences.
2.2 The Supplier may provide the Services on either a fully managed or co-managed basis. In both cases, the Supplier’s obligations are limited to the technical operation of the Safeguarding Products.
3.1 The Supplier does not warrant that the Services or Safeguarding Products will block all harmful, inappropriate, or illegal material, or prevent all safeguarding incidents.
3.2 The Supplier is not responsible for the content accessible on the internet or for the behaviour of users within the Customer’s organisation.
3.3 Notwithstanding whether the Services are provided on a fully managed or co-managed basis, the Supplier does not assume, and shall not be deemed to assume, any Customer Safeguarding Duties. Such duties remain solely with the Customer and its designated safeguarding officers.
