1. Interpretation

1.1 Except as defined in this Schedule 14 (Safeguarding & Web Filtering Services), capitalised terms shall have the meanings given to them in the Agreement.

1.2 To the extent applicable to the Safeguarding & Web Filtering Services, in the event of conflict between this Schedule 14 and the Agreement, the provisions of this Schedule 14 shall take precedence. In the event of conflict with a Service Document, Statement of Work, or Service Order, the provisions of that Service Document shall take precedence over this Schedule 14.

1.3 For the purposes of this Schedule 14:

• “Safeguarding Products” means third-party web filtering, monitoring, or safeguarding solutions supplied by the Supplier, including but not limited to Lightspeed Systems, Smoothwall, and equivalent vendor products.
• “Services” means the installation, configuration, support, and/or management of Safeguarding Products as further described in this Schedule 14 or a Service Order.
• “Customer Safeguarding Duties” means the statutory and regulatory responsibilities of the Customer in relation to safeguarding, including those set out in “Keeping Children Safe in Education” or equivalent statutory guidance.

2. Service Description

2.1 The Supplier shall provide the Services as set out in the relevant Quote, Service Document, or Statement of Work. Services may include:

(a) provision and licensing of Safeguarding Products;

(b) installation and configuration of Safeguarding Products;

(c) integration with the Customer’s IT environment, including directory services;

(d) provision of reporting dashboards, alerts, and usage statistics; and

(e) ongoing maintenance, patching, and renewal of licences.

2.2 The Supplier may provide the Services on either a fully managed or co-managed basis. In both cases, the Supplier’s obligations are limited to the technical operation of the Safeguarding Products.

3. Limitations

3.1 The Supplier does not warrant that the Services or Safeguarding Products will block all harmful, inappropriate, or illegal material, or prevent all safeguarding incidents.

3.2 The Supplier is not responsible for the content accessible on the internet or for the behaviour of users within the Customer’s organisation.

3.3 Notwithstanding whether the Services are provided on a fully managed or co-managed basis, the Supplier does not assume, and shall not be deemed to assume, any Customer Safeguarding Duties. Such duties remain solely with the Customer and its designated safeguarding officers.
