1.1 Except as defined in this Schedule 4 (NCE Subscription Services), capitalised terms shall have the meanings given to them in the Agreement.
1.2 In the event of conflict between this Schedule 4 and the Agreement, this Schedule 4 shall take precedence, and in the event of conflict with a Service Document, Statement of Work or Service Order, the provisions of that Service Document shall take precedence.
1.3 “NCE Subscription Services” means Microsoft New Commerce Experience (NCE) and Cloud Solution Provider (CSP) services supplied by the Supplier, consisting of the resale of Microsoft cloud services under the CSP programme, including licensing and subscription management.
1.4 “Microsoft Customer Agreement” means the agreement between the Customer and Microsoft as updated from time to time at https://www.microsoft.com/licensing/docs/customeragreement, which forms part of this Agreement.
1.5 “Consumption Services” means metered or usage-based services such as Microsoft Azure, billed according to actual usage.
2.1 The Supplier shall supply, and the Customer shall receive, NCE Subscription Services as described in the relevant Quote, Service Document or Service Order.
2.2 NCE Subscription Services cover licensing and billing only. Support, migration, configuration or consultancy services are not included unless expressly stated in the Service Document.
2.3 The Customer shall assign the Supplier as Partner of Record / Delegated Admin / GDAP (as applicable) for the duration of this Schedule to enable provisioning and management of Services.
2.4 The Customer acknowledges that all use of Microsoft NCE and CSP services is subject to the Microsoft Customer Agreement, which takes precedence for the operation of Microsoft services.
3.1 Monthly Subscription: Licences are purchased on a month-to-month basis, with a 20% price uplift compared to annual terms. Seat count and licence plans may be adjusted monthly in accordance with Microsoft’s rules.
3.2 12-Month Subscription: Licences are fixed for a 12-month period. The Customer may increase (flex up) seat count at any time, but may not reduce it during the term. Billing may be monthly or annually.
3.3 Multi-Year Subscription: Licences are fixed for the committed period (e.g. 36 months). Flex up is permitted, with new seats co-terminating with the subscription; flex down is only permitted at renewal.
3.4 Consumption Services: Where the Services include metered or usage-based billing (e.g. Azure), the Customer is responsible for monitoring usage and paying all charges incurred, whether authorised or unauthorised.
4.1 The Customer acknowledges that all pricing is dependent on Microsoft’s published rates under the NCE and CSP programmes.
4.2 If Microsoft or the authorised distributor changes pricing, billing structure, or applies currency fluctuations, the Supplier will adjust the Customer’s charges accordingly. Such increases may take effect automatically from the date imposed by Microsoft or the distributor. The Supplier will give the Customer at least 30 days’ notice wherever practicable.
