1.1 Except as defined in this Schedule 5 (Telephony Services), capitalised terms shall have the meanings given to them in the Agreement.
1.2 To the extent applicable to the Telephony Services, in the event of conflict between the terms of this Schedule 5 and the Agreement, the provisions in this Schedule 5 shall take precedence, and in the event of conflict with a Service Document, Statement of Work, or Service Order, the provisions of that Service Document shall take precedence over this Schedule 5.
1.3 For the purposes of this Schedule 5:
2.1 The Telephony Services may include one or more of the following:
(a) UCaaS services delivered on a per-user subscription basis, inclusive of PBX features, SIP trunk access and call bundles, as set out in the Service Document.
(b) PBX Platform services delivered via Supplier-hosted, vendor-hosted or Customer-hosted instances of a PBX system. The applicable hosting model will be set out in the Service Document.
(c) SIP trunks and call plans provided via Carriers, including Gamma or VoiceFlex, with optional resilience through multiple carriers.
(d) Number porting of existing DDI ranges, subject to Carrier processes. The Supplier shall use reasonable endeavours to complete porting, but timelines and outcomes are dependent on Carrier processes, and the Supplier shall not be liable for delays or failures outside its control.
(e) Telephony hardware including handsets, headsets and SBCs. Unless expressly covered by a managed service or maintenance contract, such hardware is provided with the manufacturer’s standard warranty only. Damage, misuse or wear (including cable strain, drops or liquid damage) is excluded.
(f) Call recording or monitoring services where specified in the Service Document.
2.2 Inclusive Calls: Where the Customer procures Gamma SIP trunks on a 36-month minimum term, the monthly rental charges shall include calls to UK local, national and mobile numbers (01, 02, 03 and standard UK mobile prefixes) free of charge. Calls to all other destinations (including but not limited to international, premium rate, directory services and non-geographic numbers not covered by Gamma’s inclusive plan) shall be chargeable at the Supplier’s prevailing rates, subject to change in accordance with Carrier tariffs on 30 days’ written notice.
2.3 Fair Usage: Unlimited or inclusive call bundles (including UCaaS per-user plans) are subject to the Carrier’s fair usage policies. Excessive, abnormal or automated usage may result in additional charges or suspension.
