1.1 Except as defined in this Schedule 8 (M-Tech.Cloud Services), capitalised terms shall have the meanings given to them in the Agreement.
1.2 In the event of conflict between this Schedule 8 and the Agreement, this Schedule 8 shall take precedence, and in the event of conflict with a Service Document, Statement of Work or Service Order, the provisions of that Service Document shall take precedence.
1.3 “M-Tech.Cloud Platform” means the Supplier’s Nutanix-based infrastructure platform, operated from resilient UK data centres.
1.4 “M-Tech.Cloud Services” means the provision of hosted virtual machines (VMs) delivered on the M-Tech.Cloud Platform at OS level, billed according to CPU, RAM and storage resources, as further described in this Schedule.
1.5 “Minimum Commitment” means the minimum number of VMs the Customer must contract for the Term, as described in paragraph 3.
1.6 “Planned Maintenance” means maintenance scheduled in advance by the Supplier and notified to the Customer.
1.7 “Emergency Maintenance” means unscheduled maintenance required to address urgent stability or security issues.
1.8 “Status Page” means the Supplier’s public service status page at https://status.mtechsystems.co.uk.
1.9 “Normal Business Hours” means 09:00–17:30 UK local time on Business Days, excluding public holidays in England.
1.10 “Good Industry Practice” means the exercise of the degree of skill, care, diligence, prudence, foresight and judgement which would reasonably and ordinarily be expected from a skilled and experienced provider of similar services, operating in the same or similar circumstances.
1.11 “Service Credits” means the credits payable by the Supplier to the Customer in respect of service failures, as described in paragraph 7.5 of this Schedule.
2.1 The M-Tech.Cloud Services provide hosted VMs on a multi-tenant Nutanix enterprise cluster operated by the Supplier in the UK. VMs are allocated according to CPU, RAM and storage resources as specified in the Service Document. Resources are committed and available up to the agreed specification; performance beyond that allocation is not guaranteed.
2.2 The M-Tech.Cloud Platform provides:
(a) enterprise-grade compute, storage and networking, designed for high availability and resilience;
(b) clustered infrastructure with no single point of failure, with redundant power and connectivity at each data centre;
(c) synchronous replication across storage nodes for data resilience;
(d) 24×7 monitoring of platform health and automated alerting of critical conditions;
